    Approx the same speed but 3rd gen should have better battery life, better graphics.

    Max TDP is identical o_O I don't get how a cpu clocked higher with hyperthreading has the same benchmarks as the one clocked lower without ht... I think they just need more sampling...

    I agree. If you go for a spec you really won't use then my suggestion would be don't. A dedicated GPU will consume significantly more power than an integrated GPU (meaning less battery time). The machine will also run more hotter, which in turn will mean that the case fan will be on more often (so more noiser).

    I thought so. but the HD is only 320GB & RAM is only 4GB.
    That's enough for me, will upgrade RAM when have a bit more cash.

    TDP isn't an accurate measure of power usage. It's only a measure of peak power, designed to tell manufacturers how much heat they need to be able to dissapate in a worst case scenario.
