I agree with All1, if it's doing everything you need, there's no point upgrading.

So you probably want a pretty decent graphic card.
i heard i5 570 would be good enough for gaming (since the graphic card is doing most of the work).

Main sources of noise are the cpu/case/graphic card/psu fans. You might need to order separate cpu fans and slightly higher spec case/psu to make it ultraquite.
Not sure how loud the stock i5 fan would be.

Well if your happy with things the way they are then no point in upgrading IMO, but in my case it's a no brainer given the age of my system, and encoding DVD9 to DVD5 using CCE and mpeg to avi takes just too long so it's worth the upgrade for ME, but as i say if your happy with current spec then stay put and don't get caught up in upgrading for upgrading sakes.

Check out Quietpc thye have a fair bit of stuff they may help you bring down the general noise level of the PC, my noise level has come down a fair bit with new fans and various feet/gaskets etc
