It's more challenging, different in very subtle ways, obviously more up-to-date and a better game. Although the career mode is far too long and dull. Plus one of the unlockable characters is the great Tim Henman, ha!
If you are not that in to tennis and can pick it up for less than a tenner- I would go VT3.

I think it's a decent game - great multiplayer game when you've got a few mates over, there are some fun daft mini-games like fruit avalanche & pirate wars. Never played it online. Great price
