Has it been used at all before? I thought OEM licence's could only be sold with hardware?

No, not used because PC came from Dell with VISTA but all PC downgraded due to sever issues with Vista.

can sell with sata cable... but will increase price by 20p

Yep, both OS were purchased through DELL Business but only XP has been installed, so that product key has not been used.

No, the Vista license is used to downgrade to XP. It's a strangely complex setup, my understanding having done this on my own machines is that basically Microsoft will activate an XP license which wouldn't allowed to be activated normally (such as an OEM license tied to another piece of hardware) if you have a Vista Business or Vista Ultimate license key. There is no separate license key however, the original Vista license key is still being used effectively as the license for the machine.

The OP doesn't make it clear whether they have simply downgraded to XP using downgrade rights (which is normally how Dell do it since MS don't really sell XP anymore for anything more than a Netbook) or if they have bought separate XP licenses specifically for these machines. In the first case they definitely cannot sell this product key as that means they are running their machines illegally but even in the second case I don't believe it's allowed either as the CoA will be a Dell badged OEM which legally is meant to be tied to the machine it was sold with. In practice this product key may well activate on another machine (due to the way Dell OS CDs don't need to be activated) however that doesn't mean it's legal.

Not necessarily - Dell can ship an XP built machine with a Vista Business license printed on it (which is legally allowed via downgrade rights) although in this case there is no separate XP license. Also Dell builds don't usually need activated if it's a Dell machine being built with a Dell CD. However it doesn't mean legally the sale is allowed.

Thanks for the input

This is how I would see it too, one installation cancels out the other by using the 'unused' OS's licence being tied to the machine anyway.
