If it is the OEM version, and has already been installed on another computer, then legally it cannot be sold as it "dies" with the original PC.

(I am not saying I agree with this, and feel Microsoft have a bit of a check enforcing it, but that is their rules).

It's a system builder, not manufacturer OEM, so I believe it can be sold on.

OEM is the same as for system builder, I don't think people should buy it if it has been used as when you install XP, after 30 or 60 days, the activation will say that the serial key has been registered with another machine. And if you use any cracks, make it as NOT genuine, so you can't update with Microsoft

In my experience, should it fail, which I doubt, then if you explain to Microsoft that it's a reinstall due to HDD or Mobo failure, then it will activate fine.

I reckon it should me OK if not presently installed/activated in any running system - is it?

spartacus101, it may be best sold with a possibility to return if it doesn't work for whatever reason. MS can refuse to provide an authentication code without giving a reason.

To confirm, it's not installed on any system since mine are all now running Vista.

So... anyone want a cheap way to install XP to their netbook??? :)
